TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using RxMed (“the Service”), you (“Tenant Administrator,” or “Tenant User”) agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, do not use the Service.

2. Description of Service

RxMed is a multi-tenant online pharmacy management platform that enables each Tenant to manage their pharmacy operations, including but not limited to:

  • Customer and supplier records
  • Sales and purchase transactions
  • Inventory and medicine data
  • Accounting and financial entries
  • Reports and analytics
  • User and staff accounts

Each Tenant has an isolated account and data set, accessible only to authorized users under that Tenant’s organization.

3. Tenant Responsibilities

As a Tenant Administrator, you are responsible for:

  • Managing access to your account and ensuring your users comply with these Terms.
  • Providing accurate, lawful, and up-to-date business, supplier, and customer information.
  • Ensuring that your use of the Service complies with applicable pharmacy, data privacy, and commercial laws in your jurisdiction.
  • Keeping your login credentials secure and reporting any unauthorized access promptly.

RxMed is not responsible for loss of data or unauthorized activity resulting from user negligence or mismanagement of access credentials.

4. Data Ownership and Privacy

You retain ownership of all business data you upload, including customer, supplier, inventory, and transaction records. By using the Service, you grant RxMed a limited license to store, process, and back up this data for the purpose of providing and improving the Service.

RxMed processes data according to its Privacy Policy, which complies with relevant data protection laws (e.g., the Philippine Data Privacy Act, GDPR equivalents where applicable). RxMed does not sell or share your data with third parties without your consent, except as required by law.

5. Service Availability and Maintenance

RxMed aims for high availability but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, updates, or technical issues may result in temporary service disruptions. Advance notice will be provided whenever possible.

6. Subscription, Billing, and Cancellation

The Service operates under a subscription-based model. Billing terms, renewal periods, and payment methods will be detailed in your account or subscription agreement.

Tenants may cancel their subscription by contacting support or via the RxMed Settings Subscription Page. Upon cancellation, access will continue until the end of the current billing period, unless otherwise specified in the subscription plan.

Upon the effective date of cancellation:

  • Your Tenant account will be placed in an inactive state for a grace period of fourteen (14) days. During this period, your data (including customer, supplier, sales, purchase, inventory, medicine, accounting, and reports data) will be retained in a non-operational state solely for the purpose of allowing immediate reactivation if you choose to resubscribe.
  • If you resubscribe within this 14-day grace period, your Tenant account and associated data will be reinstated, and normal access to the Service will resume, subject to payment of applicable fees.
  • After the 14-day grace period has lapsed without resubscription: Your Tenant account and associated personal data will be permanently deleted or irreversibly anonymized, using secure disposal methods designed to prevent further processing, unauthorized access, or reconstruction, in line with the Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations.
  • Data will be retained only for as long as necessary for the fulfillment of lawful purposes, the establishment, exercise, or defense of legal claims, or as otherwise required by applicable law (e.g., tax, audit, or regulatory retention requirements), after which it will likewise be securely disposed of.

RxMed reserves the right to suspend or terminate accounts for non-payment, violation of these Terms, or fraudulent or abusive activity.

7. Intellectual Property

All rights, titles, and interests in RxMed, including software, design, and underlying technology, remain the exclusive property of RxMed. Tenants may not copy, modify, decompile, or distribute the software or content without written consent.

8. Prohibited Use

You agree not to use RxMed to:

  • Engage in unlawful activity or violate pharmacy or prescription regulatory laws.
  • Store or transmit harmful or confidential data that you do not have rights to use.
  • Interfere with system security or attempt unauthorized access.
9. Limitation of Liability

To the maximum extent permitted by law, RxMed shall not be liable for indirect, incidental, or consequential damages, including data loss, business interruption, or lost profits, arising out of the use or inability to use the Service.

10. Modifications to the Terms

RxMed may update these Terms periodically. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

11. Termination

RxMed may suspend or terminate your access if you breach these Terms or engage in misuse of the Service. Upon termination, your data may be retained or deleted per our retention policy.

12. Governing Law

These Terms shall be governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the proper courts of Manila.
